1. Acceptance of Terms
Welcome to COMPASS ("we," "us," or "COMPASS"). These Terms of Service ("Terms") form a legally binding agreement between you and COMPASS.
By accessing this website, registering an account, downloading the client, booking a demo, or using any COMPASS feature, you confirm that you have read, understood, and agree to be bound by these Terms. If you use the services on behalf of a company or organization, you represent that you are authorized to bind that entity.
If you do not agree to these Terms, please stop using our website and services.
2. Description of Services
COMPASS is an intelligent scheduling and collaboration workspace for manufacturing and supply chain scenarios, including but not limited to spreadsheets, Gantt charts, capacity views, document collaboration, AI copilot, browser extension integrations, and enterprise deployment options.
We may adjust features, interfaces, pricing, or availability based on product iteration, compliance requirements, or operational needs. Material changes will be communicated via website notices, in-product notifications, or contact details you provide.
Some features may be in beta or preview. They may be unstable or change at any time, and we will reasonably indicate their status.
3. Accounts and Access
You may need to create an account to use certain features. You agree to provide accurate, complete information and keep it up to date.
You are responsible for safeguarding your credentials and for all activity under your account. Contact us immediately if you suspect unauthorized use.
- Do not share accounts unless your subscription explicitly allows it;
- Do not attempt to bypass authentication, access controls, or usage limits;
- Do not use automated means to scrape, scan, or stress-test the services without authorization.
4. Acceptable Use
You agree to use COMPASS only for lawful purposes and in compliance with applicable laws and industry standards. You must not:
- Upload, store, or transmit illegal, infringing, malicious, defamatory, or harmful content;
- Disrupt, damage, or attempt unauthorized access to our systems, networks, or other users' data;
- Reverse engineer, decompile, or attempt to extract source code except where expressly permitted by law;
- Use the services for fraud, spam, or abuse unrelated to manufacturing scheduling;
- Infringe third-party intellectual property, trade secrets, or privacy rights.
5. Customer Data and Intellectual Property
Business data you upload, import, create, or process in COMPASS (including orders, routings, capacity, schedules, etc., "Customer Data") remains yours or your organization's.
You grant us a limited, non-exclusive license to process Customer Data to provide, maintain, improve, and legally operate the services. Except with your authorization or as necessary to deliver requested features, we do not use Customer Data to train general models for other customers.
COMPASS software, website design, documentation, trademarks, logos, and related technology are protected by intellectual property laws. All rights not expressly granted are reserved.
6. Subscriptions, Trials, and Payment
Some features are free; enterprise tiers may require paid subscriptions or separate commercial contracts. Pricing, modules, and deployment options are as shown on the website or agreed in writing.
Billing cycles, renewals, refunds, and trial rules for paid services follow the purchase page, order confirmation, or contract terms. Late payment may result in suspension or termination.
You are responsible for network, hardware, third-party system access, and applicable taxes.
7. Third-Party Services and Integrations
COMPASS may work with ERP, MES, WMS, IM tools, and browser extensions. Such integrations may be subject to third-party terms, and we do not guarantee third-party availability, accuracy, or security.
When the browser extension reads fields from business system pages, you must ensure lawful access to those systems and comply with your organization's information security policies.
8. Disclaimer
COMPASS assists scheduling decisions. AI suggestions and algorithm outputs are for reference only and do not guarantee production outcomes, delivery performance, or business results. Material schedule changes should be reviewed and confirmed by authorized personnel.
To the maximum extent permitted by law, the services are provided "as is" and "as available." We do not warrant uninterrupted, error-free service or specific business outcomes.
9. Limitation of Liability
To the maximum extent permitted by law, COMPASS and its affiliates are not liable for indirect, incidental, special, punitive, or consequential damages arising from use or inability to use the services, including lost profits, production downtime, or data loss.
For direct damages caused by our fault, our total liability is capped at the fees you paid to COMPASS in the twelve (12) months before the claim; if you use free services, the cap is CNY 1,000 unless mandatory law provides otherwise.
10. Suspension and Termination
We may suspend or terminate access if you violate these Terms, pose a security risk, or as required by law, with reasonable notice where appropriate. You may stop using the services and request account deletion at any time.
After termination, we handle Customer Data according to the Privacy Policy and contractual terms. Provisions such as intellectual property, disclaimers, liability limits, and dispute resolution survive termination.
11. Governing Law and Disputes
These Terms are governed by the laws of the People's Republic of China (excluding conflict-of-law rules).
Disputes shall first be resolved through good-faith negotiation. If negotiation fails, they shall be submitted to a court with jurisdiction where COMPASS primarily operates.
